This document sets forth the terms and conditions between the user (“you”) and AIV Digital Media Private Limited (“we,” “our,” or “us”) regarding the use of our services. By accessing, browsing, or using the Platform, you agree to abide by these Terms. If you do not agree with any of the provisions in these Terms, you must immediately discontinue your use of the Platform.

Please note that these Terms also incorporate our Privacy Policy, which outlines how we collect, use, and protect your personal information. It is important to read both the Terms and Privacy Policy thoroughly before engaging with our Platform.

1. ACCEPTANCE OF TERMS

By accessing or using the Platform and Services, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with these Terms, you should refrain from using our Services. Your continued use of the Platform signifies your acceptance of these Terms and any updates or changes we may make in the future.

2. ACCOUNT REGISTRATION AND USAGE

  • Refrain from using the Platform for any illegal, fraudulent, or harmful activity.
  • Not interfere with or disrupt the Platform, servers, or networks connected to it.
  • Not attempt to gain unauthorized access to any parts of the Platform or any associated systems.

4. LICENSE TO USE THE PLATFORM

We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform solely for personal or business purposes related to the Services we provide. This license is subject to these Terms and does not permit you to:

  • Use the Platform for illegal purposes.
  • Modify, copy, distribute, display, or create derivative works from the Platform or any of its content without prior written consent from AIV Digital Media.

Any unauthorized use of the Platform will be a breach of these Terms and could lead to suspension or termination of your access.

5. INTELLECTUAL PROPERTY

All content provided on the Platform, including but not limited to text, graphics, logos, trademarks, game mechanics, and AI-generated content, is the property of AIV Digital Media or its licensors. This content is protected by intellectual property laws, and you are prohibited from using, copying, distributing, or modifying any of our intellectual property without express written permission.

6. SUBSCRIPTION AND PAYMENTS
  • Subscription Plans: We offer various subscription models for access to different features and tools on the Platform. These plans may change or be updated at our discretion. Specific terms for each subscription will be outlined at the time of your purchase.
  • Payment: You agree to pay all applicable fees for the Services based on the subscription model you choose. By subscribing, you authorize us to charge the agreed fees, including applicable taxes, to the payment method you provide.
  • Cancellations and Refunds: Subscription fees are non-refundable unless specifically stated otherwise in the terms of the subscription. You may cancel your subscription at any time, but please note that no refunds will be issued for payments already made.

7. USE OF AI AND DATA

The Platform integrates Artificial Intelligence (AI) technologies to offer personalized services, including content creation, user behaviour analytics, and fraud detection. By using our Services, you consent to our collection, processing, and use of data as described in our Privacy Policy.

This includes both personal and nonpersonal data used to improve user experience, optimize services, and ensure security. The AI features of our Platform may also analyse user data to create personalized content and provide predictive insights.

8. USER CONTENT

As a User, you may upload or provide content to the Platform, including game mechanics, branding materials, or other data ("User Content"). By submitting User Content, you grant us a non-exclusive, royalty free, transferable license to use, display, distribute, and modify your content for the purposes of providing our Services.

You warrant that you have the necessary rights to the User Content you provide and that it does not infringe on the intellectual property rights of third parties.

9. DATA SHARING AND DISCLOSURE

In accordance with our Privacy Policy, we may share your data under certain circumstances, including but not limited to:

  • With third-party service providers assisting in the operation of the Platform.

10. PROHIBITED CONDUCT

You agree not to engage in the following activities:

11. SUSPENSION AND TERMINATION OF SERVICES

We reserve the right to suspend or terminate your access to the Platform if we determine, in our sole discretion, that you have violated these Terms or engaged in conduct that harms our services, users, or reputation. Upon termination, your access to the Services will cease immediately, and any data associated with your account may be deleted as outlined in our Privacy Policy.

12. LIMITATION OF LIABILITY

To the fullest extent permitted by law, AIV Digital Media Private Limited, its officers, employees, agents, and affiliates are not liable for any direct, indirect, incidental, special, consequential, or punitive damages resulting from your use of the Platform or Services. This includes but is not limited to the loss of data, profits, or business opportunities.

13. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless AIV Digital Media Private Limited, its officers, employees, agents, and affiliates from any claims, losses, damages, or expenses including legal fees that arise from or are related to your use of the Platform or violation of these Terms.

14. CHANGES TO THE TERMS

We may update or modify these Terms at any time to reflect changes in our business, operations, or legal requirements. When we make significant changes, we will notify you by posting the revised Terms on the Platform with an updated "Effective Date." You are responsible for reviewing these Terms regularly. Continued use of the Platform after such updates constitutes your acceptance of the revised Terms.

15. GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts in Delhi, India.

16. SEVERABILITY

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.

17. FORCE MAJEURE

We shall not be liable for any delay or failure to perform our obligations under these Terms due to causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, or technical failures etc.
